Global Benefits Advisory Services Terms & Conditions
These Global Benefits Advisory Services Terms & Conditions (these “Global Services Terms”) are incorporated by reference into the Client Services Order Form (the “Order Form”) by and between Sequoia Benefits and Insurance Services, LLC, d/b/a Sequoia Group, a California limited liability company (“Sequoia“), and the Client identified in such Order Form. All capitalized terms used in these Global Services Terms and not otherwise defined herein shall have the meanings ascribed to such terms as set forth in the Agreement. As used herein, the “Agreement” shall refer to the Order Form, these Global Services Terms, and any other agreements identified in, incorporated into, or made a part of the Order Form. These Global Services Terms set forth the additional terms and conditions under which Sequoia will provide to Client certain global benefits advisory services (the “Services”) and supplement the Services General Terms & Conditions. In case of conflict, the order of priority of governing terms is (i) the Order Form, (ii) these Global Services Terms, and then (iii) the other agreements identified in the Order Form.
- Fees. In the event the Services are terminated by Client prior to expiration of the Term, Sequoia’s compensation will be deemed earned and Sequoia shall not be required to refund any fees paid.
- Client Data. Client acknowledges that Sequoia is not licensed to provide insurance brokerage services outside of the United States. Client understands and agrees that any Client Data, including any personal data, required by a local country broker outside of the US for underwriting, insurance, benefit plan or any or other purposes, will be shared by Client directly with the local country broker.
- Client Responsibilities. Client will be responsible for providing Sequoia with information requested by Sequoia needed for the management of Client’s global benefit programs, including but not limited to the following, (i) a summary of all global contracts for countries and global policies, including but not limited to, name of local insurer, policy number and contract renewal date by contract by country, and local insurer’s contact details; (ii) local program details where possible, including but not limited to, a summary of local benefits, copies of local insurance contracts and corresponding policy numbers, and all contact details for local or regional human resources champions, and as applicable, local brokers, insurers, and vendors; and (iii) copies of past and current pooling reports, illustrations, where possible and as applicable.
- Global Services Terms Updates. Client acknowledges and agrees that Sequoia may, in its sole discretion, modify or update these Global Services Terms from time to time, and that Client should review these Global Services Terms and any notices made available to Client periodically. When Sequoia materially changes these Global Services Terms, Sequoia will (a) update the ‘Last Updated’ date at the top of this page and (b) notify Client’s Account Administrator via email or Sequoia People Platform notifications that material changes have been made to these Global Services Terms. Any such changes will become effective no earlier than thirty (30) days after they are posted, except that changes addressing new Services, new functionality of existing Services, or changes made for legal reasons will be effective immediately. Client’s continued use of the Services after the date any such change becomes effective constitutes Client’s acceptance of these Global Services Terms, as updated. If Client does not agree to any of these Global Services Terms, including as updated from time to time, Client may not use or access the Services.
